DANVILLE
SOCCER CLUB, INC. CONSTITUTION AND BY-LAWS ARTICLE
I - NAME
This organization shall be known as the Danville Soccer Club,
Inc. ARTICLE II - OBJECTIVES The objective of the Danville
Soccer Club, Inc. is two-fold: A. To introduce youngsters, through the recreational
program, to soccer through organized support with the primary expressed purpose
to have fun, and the secondary purpose to learn soccer skills. B. To further
enhance skills and develop team play of youngsters through the traveling program,
known as Danville Blast. ARTICLE III - MEMBERSHIP A. Membership
in the Danville Soccer Club, Inc. will consist of all parents of players, non-minor
players, directors, coaches, managers, and ad hoc committee members. B.
Voting membership, for the sole purpose of electing the Board of Directors, will
be limited to the existing directors and each coach of the fall recreational and
fall traveling teams. The coach may assign an alternate to represent that team.
Each voting member will be entitled one vote when electing the Board of Directors
ARTICLE IV - ORGANIZATIONAL STRUCTURE
A. Board of Directors The
Danville Soccer Club, Inc. shall be governed and administered by a board of directors.
The board of directors shall consist of: 1) President 2) Vice-President
3) Secretary 4) Treasurer 5) Recreational Director 6) Traveling Director
7) Member at Large 8) Danville Parks and Recreation Representative
9) Member At Large 10) Immediate Past President B. Officers The
officers of the club shall be the: 1) President 2) Vice-President
3) Secretary 4) Treasurer C. Terms of Office The President and
Vice President shall serve for two years or until their successors are elected.
The Treasurer and Secretary shall serve for two years or until their successors
are elected. The President and Vice President shall be elected in odd years. The
Secretary and Treasurer shall be elected in even years. There is no limit to the
terms an individual can be elected to the board. D. Meetings Meetings
of the Executive Committee may be held at any time determined by the President.
Members of the Executive Committee shall be given not less than 24 hours notice. The
club will meet monthly. Additional meetings may be called at the request of two
board members. E. Quorum Attendance of the board by five (5) members
is required in order to take formal action. Passage of any action by the board
requires a simple majority. F. Removal of a Director Any director may
be removed from the board, with or without cause, by the Board of Directors should
the board feel the best interests of the Danville Soccer Club, Inc. will be served. G.
Nominating Committee The Nominating Committee shall consist of a chairman
and two members. The chairman of the Nominating Committee shall be the immediate
Past President. If the immediate Past President is unable to serve, the President
shall appoint a chairperson, subject to the approval of the Executive Committee. H.
Process At the last annual meeting, the Nominating Committee shall submit
a slate of candidates for offices. The chosen candidates will be sworn in at the
next meeting for their prospective term. ARTICLE V - RESPONSIBILITIES
OF THE BOARD OF DIRECTORS A. Election of Board Members The board
elects each subsequent year's members no later than December 31st from a pool
of nominees submitted by the ad hoc nominating committee. B. Vacancies
The board will fill any vacancies to board positions that occur, except for the
President, by a majority vote of the remaining members. If the President resigns
or is unable to carry out his/her duties, the Vice-President shall assume the
office of President for the un-expired term. C. Discipline The board
shall have final responsibility and authority to discipline, suspend or remove
any player or coach who is detracting from the overall soccer program. D.
Finances The board shall establish rules pertaining to the finances of the
Danville Soccer Club. Any expenditure by the Treasurer over $1,000 must receive
prior approval by the Board. The checks must have two signatures, the Treasurer
and President or Vice-President. ARTICLE VI - DUTIES OF OFFICERS A.
President 1) The President shall be responsible for preparing an agenda and
conducting meetings of the club. 2) The President shall appoint ad hoc committees,
such as the nominating committee, when needed. 3) The President will be the
principal spokesman for the Danville Soccer Club, Inc. with outside organizations
to promote the growth of soccer and soccer facilities in the Danville area. B.
Vice-President 1) The Vice-President shall serve in the place of the President
in case of absence or disability. 2) The Vice-President shall serve as point
of contact for all internal matters to include resolving conflicts over fields
for games and practices as well as coordination of schedules between the Danville
Soccer Club and opponents. C. Secretary 1) The Secretary will keep
minutes of all meetings and is responsible for all correspondence. 2) The
Secretary is responsible for registration of players. D. Treasurer
1) The Treasurer is responsible for the financial records of the league. 2)
The Treasurer must submit a financial report at each meeting of the board Council.
Article VII - AMENDEMENTS TO THE BY-LAWS All amendments to
the rules and by-laws must be presented in writing, by the member requesting the
amendment, to each director at least one (1) week prior to a called or scheduled
meeting. Two-thirds of voting members present must approve any proposed changes. ARTICLE
VIII - PLAYING RULES OF THE RECREATIONAL LEAGUE Playing rules will comply
with rules of the Federation Internationale de Football Association (FIFA) with
modifications as adapted for the Danville Soccer League and detailed in a separate
document entitles Recreational League Rules. ARTICLE IX - PLAYING RULES
OF THE TRAVELING LEAGUE A. Playing rules will comply with rules of the
Federation Internationale de Football Association (FIFA) with modifications by
various Youth Soccer Associations. B. The traveling teams will be known
as the Danville Blast. Primary team colors will be green and white.
ARTICLE XI - BASIC POLICIES A. Participation in any league, including
recreational, traveling, and adult, will be open to any person, male or female,
living in Danville and surrounding area. Non-city residents, playing in the recreational
program, must meet the financial requirements set by the Danville Parks and Recreation
Department in order to qualify for membership. Non-city residents, playing in
the traveling program, have the same financial responbility as city residents
since this program is not run in conjunction with the City of Danville. B.
Participation is without regard to race, color, creed, sex, religion or national
